Terms & Conditions

1. About These Terms
These Terms and Conditions apply to Founio, a product of Vexol, based in the Netherlands. By creating an account or using Founio, you agree to these Terms. If you do not agree, do not use Founio.
2. Definitions
Service: Founio, including the website, the app, the AI assistant, AI agents and UGC Studio. User: any person or business that uses the Service. Account: the account you create to use the Service.
3. Eligibility
You must be at least 18 years old to use Founio. Founio is intended for business use. If you use Founio on behalf of a company, you confirm that you are allowed to accept these Terms for that company.
4. Your Account
You must provide accurate information and keep your login details safe. You are responsible for everything that happens in your account, including actions by teammates you invite. Tell us immediately at support@vexol.eu if you suspect unauthorised use.
5. Connected Services
Founio works with services such as Shopify, Google, Microsoft 365, Telegram and tools connected through MCP. Their own terms apply to your use of them. You are responsible for the access you grant to Founio, and you can disconnect them at any time.
6. AI Features
The AI assistant, AI agents and UGC Studio use AI models through OpenRouter. AI output can be incomplete or wrong, so review it before you rely on it or share it. AI agents prepare actions, but nothing is sent or published without your approval. You are responsible for the content you approve, publish or send, and for making sure it does not infringe the rights of others.
7. Acceptable Use
You agree not to use Founio for anything unlawful, not to send spam or misleading content, not to interfere with or attempt to bypass the security of the Service, and not to scrape, reverse engineer or overload the Service.
8. Your Data
You keep all rights to your data and content. You give Vexol permission to process them only to provide and improve the Service, as described in our Privacy Policy. For the personal data of your own customers, Vexol processes it on your behalf.
9. Plans and Payment
The current plans and prices are shown on the Pricing page. Paid plans are billed in advance through Stripe, and UGC Studio is charged based on what you create. Prices exclude VAT unless stated otherwise. We may change our prices with notice; changes apply from your next billing period.
10. Cancellation and Refunds
You can upgrade, downgrade or cancel your plan at any time from your account. An upgrade takes effect right away. A downgrade or cancellation takes effect from your next billing period. Payments are non-refundable, including for unused time and for AI usage, except where the law requires otherwise.
11. Intellectual Property
Founio, including its software, design and branding, belongs to Vexol. We give you a limited, non-exclusive, non-transferable right to use Founio for your business during your subscription.
12. Disclaimers and Liability
Founio is provided as is and as available. To the extent permitted by law, Vexol is not liable for indirect or consequential damage, such as lost profit, lost revenue or lost data, and our total liability is limited to the amount you paid us in the twelve months before the claim. You agree to compensate Vexol for claims resulting from your breach of these Terms or from content you publish through Founio.
13. Changes and Termination
We may update these Terms. We will post the new version on this page with a new date and notify you of important changes. We may suspend or end your account if you seriously breach these Terms.
14. Governing Law and Contact
These Terms are governed by Dutch law. Disputes will be submitted to the competent court in the Netherlands. Questions about these Terms? Email us at support@vexol.eu.
